Association Status « Gaza Animal Care »

I. Name and Registered Office

Under the name of “Gaza Animal Care” (hereinafter referred to as “the Association”), an association governed by Articles 60 et seq. of the Swiss Code of Obligations is hereby established.

The registered office of the Association is in Duillier, Switzerland.

II. Purpose

The principal aims of the Association are:

1. To build a comprehensive veterinary clinic for stray and domestic animals in Gaza, employing at least one veterinarian.

2. To send our Operational co-directors to the USA in order to gain experience in managing veterinary clinic.

3. To spread and vivify the spirit and conscience of Saint Francis of Assisi for compassion towards animals, the “Brothers and Sisters of humanity” as Saint Francis called them.

4. To encourage the sterilization of stray animals to control the population.

5. To establish responsible adoption programs

6. To provide a safe haven for animals in distress

7. To collaborate with other local and international organizations. Partner with other organizations with similar missions to maximize efforts.

8. To advocate for laws and policies to protect animal rights. The association engages in advocacy efforts to promote laws and regulations that protect animals from cruelty and neglect.

9. To assist materially, financially and legally our members at Gaza, who act compassionately towards animals, in the spirit of St. Francis.

III. Means

To achieve its objectives, the Association may in particular:

• Organize conferences, workshops, events and educational activities aimed at promoting compassion and benevolence towards all living beings.
• Raise funds through donations, dues, grants and other legal resources to provide financial support to those in need who work to embody the spirit of Saint Francis.
• To provide material, financial and legal support to members of the Association in Gaza in case of need, in accordance with Swiss law and the principles of justice and equity.

IV. Members

• Membership of the Association is open to any natural or legal person who shares the objectives of the Association and accepts these Articles of Association.
• Application for membership is made by filling in a form directly on the Association’s website.
• Membership is effective immediately upon payment of the annual subscription.
• Members undertake to pay the CHF 30.- (or equivalent in foreign currency) annual subscription.

V. Organization

The Association is composed of the following bodies:
– The General Meeting,
– the Committee.

VI. General Meeting

The General Meeting is the supreme body of the Association.
It meets at least once a year.
Its main powers are :
– Election of the Board
– Approval of the annual accounts
– Amendment of the Articles of Association
– Dissolution of the Association

VII. Committee

The Committee consists of at least three members elected by the General Meeting.

It is responsible for the day-to-day management of the Association and for implementing the decisions of the General Meeting.

The Committee meets regularly and takes decisions by majority vote. In case of a tie in the committee votes, the President’s vote counts double.

The Committee meets regularly to take the decisions necessary for the smooth running of the Association.

Committee members are elected for an indefinite term, until they resign. Committee members may resign at any time, subject to three months’ notice. The other members will then call a special meeting to appoint a replacement.

The founding general assembly, discussing the present bylaws, decided to appoint two co-Operational Directors. Therefore, the committee is composed of the following four members:

1. President : Mint
2. Operational Director : Rashid Salem Rashad Haraz
3. Operational Director : Abdullah Ahmed El Ghafari
4. Treasurer : Eric Arnaboldi

VIII. Association accounts

The Committee delegates to the Treasurer the proper management of the Association’s accounts. It delegates to him the task of creating all the accounts and means necessary for the smooth running of the Association. The Treasurer is responsible for communicating to Committee members on a weekly basis the financial flows and transactions, so that the Committee can have an accurate knowledge of the Association’s financial status.

IX. External collaborators

The Committee may decide to engage one or more employees or to outsource any tasks if the volume of work so requires, or if the results required exceed the Committee’s competence.

X. Amendments to the Articles of Association

The present Articles of Association may be amended by decision of the General Meeting. Proposed amendments must be communicated to the members of the Association at least one month prior to the General Meeting. Amendments must be approved by the members of the Association at a General Meeting.

XI. Dissolution

The Association may only be dissolved by the General Meeting.

If the Association’s accounts are positive at the time of dissolution, the amount is redistributed to the associations or organizations benefiting from the Association’s work.

XII. Final provisions

These Articles of Association were adopted by the Constituent General Meeting of the Association held on March the 30th 2024.
